Terms of Service

1. Agreement to Terms

By accessing or using Briefigo ("the Service"), operated by Achova Technologies ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all users of the Service, including freelancers, agency owners, and any other individuals who create an account ("Users"), as well as clients who access client portals created by Users ("Clients").

2. Description of Service

Briefigo is a web-based platform that enables freelancers and agencies to:

• Generate AI-powered project proposals
• Create and share branded client portals
• Collect electronic signatures and payments
• Share files and communicate with clients
• Track project status and activity

Briefigo provides tools and infrastructure. We are not a party to any agreement between a User and their Client. All proposals, contracts, and payment arrangements are solely between the User and their Client.

3. Eligibility

You must be at least 18 years old to use the Service. By using Briefigo, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.

4. Account Registration

To access the full Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized use of your account
• Take responsibility for all activity that occurs under your account

You may not create an account on behalf of someone else without their authorization.

6. Client Payments (Stripe Connect)

Briefigo allows Users to collect payments from their Clients through Stripe Connect. By connecting a Stripe account, you agree to Stripe's Terms of Service and Connected Account Agreement, available at stripe.com.

Briefigo is not a payment processor. All payment processing is handled by Stripe. Briefigo does not hold, transfer, or have access to funds transacted between Users and their Clients.

Users may provide alternative payment instructions (such as bank transfer details or third-party payment links) directly within their client portal. In such cases, Briefigo acts solely as a display layer for those instructions and is not involved in the payment process in any capacity. The User is entirely responsible for collecting, confirming, and reconciling payments made through any alternative method.

Users are solely responsible for:

• The accuracy of payment amounts in their proposals
• Compliance with applicable tax laws and regulations
• Any disputes that arise between them and their Clients regarding payments

7. AI-Generated Content

Briefigo uses artificial intelligence to assist in generating proposal content. By using the AI proposal generator, you acknowledge and agree that:

• AI-generated content is a starting point and may require editing
• You are responsible for reviewing all generated content before sending it to a Client
• Briefigo makes no warranty that AI-generated proposals are legally sufficient for your specific jurisdiction or use case
• You retain full ownership of proposals you create using the Service
• We may use anonymized, aggregated usage data to improve AI performance

8. Electronic Signatures

Briefigo provides a built-in electronic signature feature. By using this feature, you acknowledge that:

• Electronic signatures collected through Briefigo are intended to be legally binding in many jurisdictions under applicable e-signature laws (including the U.S. ESIGN Act and EU eIDAS Regulation)
• Briefigo does not guarantee the legal enforceability of electronic signatures in all jurisdictions
• You are responsible for ensuring e-signatures are valid and sufficient for your specific use case and jurisdiction
• Signature records, including timestamps and IP addresses, are stored and associated with the relevant portal

9. Client Portals

9.1 Public Access: Client portals are accessible via a unique URL without requiring the Client to create an account. You are responsible for sharing portal links only with intended recipients.

9.2 Password Protection: You may optionally enable password protection on a portal. Briefigo is not responsible for unauthorized access resulting from you sharing the password with unintended parties.

9.3 Expiry: You may set an expiry date on proposals. Briefigo will automatically restrict access to expired portals.

10. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Send fraudulent, misleading, or deceptive proposals
• Collect payments for goods or services you do not intend to provide
• Infringe on the intellectual property rights of any third party
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to any part of the Service
• Scrape, crawl, or extract data from the Service without our written permission
• Use the Service for any purpose that competes with Briefigo without our written consent
• Harass, abuse, or harm any person through the Service

11. Intellectual Property

11.1 Your Content: You retain ownership of all content you create using Briefigo, including proposals, uploaded files, and messages. By using the Service, you grant Briefigo a limited, non-exclusive license to store, display, and process your content solely for the purpose of providing the Service to you.

11.2 Our Property: The Briefigo platform, including its design, code, branding, and features, is owned by Achova Technologies and protected by applicable intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

11.3 Feedback: If you provide feedback or suggestions about the Service, you grant us the right to use that feedback without restriction or compensation to you.

12. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you agree to the collection and use of your data as described in the Privacy Policy.

13. Third-Party Services

Briefigo integrates with third-party services including Stripe, Clerk, Cloudinary, Resend, and Anthropic. Your use of these services is subject to their respective terms and privacy policies. Briefigo is not responsible for the practices or content of any third-party services.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, ACHOVA TECHNOLOGIES DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ACHOVA TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

16. Indemnification

You agree to indemnify and hold harmless Achova Technologies and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or any dispute between you and your Clients.

17. Termination

We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days, after which it may be permanently deleted.

18. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through a notice in the Service. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

19. Governing Law

These Terms are governed by and construed in accordance with the laws applicable to Achova Technologies' place of business.
